Terms of service
These terms govern your use of UrGadget during our pilot. By creating an account, accessing the app, or recording a device with us, you agree to these terms.
1. Acceptance of these terms
UrGadget (“we”, “us”) provides a pilot service for repair shops and gadget sellers to record devices, track service history, and issue receipts. These terms form the agreement between you (“you”, the shop, staff member, or customer using the service) and UrGadget.
You accept these terms when you create an account, log in, or use any part of the service. If you use UrGadget on behalf of a business, you confirm you are authorised to accept these terms for that business. If you do not agree, do not use the service.
2. Service description and pilot scope
UrGadget is in a limited pilot. The service is a progressive web app (PWA) for guided device intake, offline-capable record keeping, device passports, and sale receipts. During the pilot we may change, limit, or pause features as we learn and improve.
- Guided intake: staff record device identity (for example IMEI or serial), condition observations, and photos through structured steps.
- Offline-first records: intake and sales can be captured on the device and synced to our servers when connectivity returns.
- Device passports: a shareable service-history view for each device, including inspections and sales.
- Sale receipts: server-issued, tamper-evident records of completed sales (see section 5).
Identification lookups, optical character recognition (OCR), and any AI-generated suggestions are assistive only: they help staff capture details faster but are never authoritative. A human — shop staff at intake, inspection, or sale — must review and confirm every material fact (device identity, condition, price, buyer, and receipt details) before it is relied on. You are responsible for what your team confirms and submits.
3. Accounts, roles, and Google login
Access is account-based. Shops are onboarded as organisations, and each person uses their own login. You must provide accurate account information and keep your credentials confidential.
- Google login: we offer sign-in with Google for convenience. You remain responsible for activity under your account, including if access to your Google account is shared or compromised — tell us promptly so we can help secure it.
- Roles: organisation owners may invite staff and assign roles (for example owner, manager, or staff). Roles control what a person can do, such as completing a sale or managing the team. Owners are responsible for who they invite and which roles they grant.
- Your responsibility: you must ensure only authorised, current team members hold active accounts, and remove or downgrade access when someone leaves or changes duties.
4. Acceptable use
You agree to use UrGadget lawfully and honestly. You must not:
- Record device ownership, identity, condition, price, or buyer details you know to be inaccurate or misleading.
- Record, sell, or issue receipts for devices you know or reasonably suspect are stolen, fraudulently obtained, or subject to an ownership dispute — and you must cooperate with lawful requests about such devices.
- Misrepresent who confirmed an intake, inspection, or sale, or submit records on behalf of another shop without permission.
- Abuse, disrupt, or probe the service: no unauthorised access, scraping at abusive volumes, introducing malware, or interfering with other users’ records.
- Use the service for any unlawful purpose.
We may investigate suspected misuse and request supporting records (for example proof of ownership or purchase) before allowing further sales or receipts for a disputed device.
5. Receipts
Receipts are the formal record of a completed sale on UrGadget. To keep them trustworthy:
- Server-allocated numbers: every receipt number is allocated by our servers in a gap-free sequence per organisation. Client devices may render a preview, but only the server-issued number is the official receipt number.
- Immutable records: once issued, a receipt and its snapshot (device, price, amount paid, buyer, seller, and receipt number) cannot be edited through the service. Corrections, where permitted, are made by issuing a new superseding record — never by rewriting the original.
- Human confirmation required: staff must confirm sale details before a receipt is issued. If offline, the sale is queued on the device and the official receipt is issued when the queued sale syncs and is accepted by the server.
In short: receipt numbers are server-allocated, and issued receipts are immutable.
6. Pilot availability and offline limits
The pilot service is provided on an “as available” basis. We aim for dependable service but do not guarantee uninterrupted or error-free operation, especially during the pilot while we test, migrate, and upgrade.
- We may throttle, suspend, or change features, limits (such as photo counts or sync sizes), or supported devices with or without notice during the pilot.
- Offline limits: offline capture depends on your device‘s storage, browser, and sync state. Queued sales and intake records are stored on that device until they sync; clearing browser data, losing the device, or uninstalling the app before a successful sync may lose unsynced records. Sync conflicts (for example a device sold elsewhere while you were offline) are resolved by the server, and a queued sale the server rejects does not create a receipt.
- You are responsible for keeping a device online long enough to complete sync for records you care about, and for verifying in the app that important sales show as synced and receipted.
7. Fees
Use of UrGadget during the pilot is free. We plan to introduce a paid subscription after the pilot. We will announce pricing and billing terms before any charge applies, and no paid plan will start without your explicit agreement. Nothing in these terms commits you to a future paid plan.
8. Intellectual property
UrGadget, including the app, site, branding, and content we provide, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the service for your shop’s internal business during the pilot, subject to these terms.
Your shop’s data (device records, photos, and sale details you submit) remains yours. You grant us a licence to host, process, back up, and display that data as needed to operate the service, including generating passports and receipts you choose to share.
9. Privacy
Our handling of personal data is described in our privacy policy, which is incorporated into these terms by reference. By using the service you agree to the privacy policy. Where you submit buyer or customer personal data, you confirm you have the permission or other lawful basis to share it with us for receipting and record-keeping.
10. Suspension and termination
We may suspend or terminate your access — or suspend receipts, sync, or sharing for an organisation or device — if we reasonably believe you have breached these terms, submitted dishonest records, recorded a suspected stolen device, abused the service, or created legal or security risk. Where practical we will explain what happened and how to appeal.
You may stop using the service at any time. Contact us if you want your organisation account closed or your data exported or deleted, subject to records we must retain by law (for example completed sale receipts).
11. Disclaimers and liability cap
The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including that records will always be complete, valuations accurate, or the service uninterrupted.
No turnaround guarantee: any reference to knowing a gadget’s worth “in about 20 seconds” describes a product aspiration, not a guarantee. Actual identification, intake, and sync times vary with device, network, photo size, queue length, and third-party lookups, and may take materially longer.
To the maximum extent permitted by law, UrGadget’s total liability arising from or relating to the service is capped at the amounts you paid us for the service in the three months before the event giving rise to the claim — which, while the pilot is free, is zero. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill.
12. Indemnity
You will indemnify and hold harmless UrGadget and its owners, staff, and partners against claims, damages, losses, and reasonable costs (including legal fees) arising from your misuse of the service, your breach of these terms, records your team confirmed, or your violation of law or third-party rights — including claims by buyers or ownership disputants over devices you recorded or sold.
13. Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to resolve any dispute informally — contact us at hello@urgadget.biz with a description of the issue so we can attempt resolution within 30 days. If informal resolution fails, disputes shall be resolved by the courts sitting in Lagos State, Nigeria, unless otherwise required by applicable law.
14. Changes to these terms and contact
We may update these terms as the pilot evolves (for example when paid subscriptions launch). When we make material changes we will post the updated terms at https://urgadget.biz/terms-of-service with a new effective date, and for material changes we will also give reasonable advance notice in the app or by email before the new terms take effect. Continued use after the new effective date means you accept the updated terms.
